1.Acceptance of Terms

2.About Arjay Consulting

Arjay Consulting Ltd is a financial consulting firm registered in England and Wales. We provide specialist financial analysis, strategic advisory, CFO-level support, bookkeeping, fundraising advisory, and related services to start-ups and SMEs. 3.Our Services

The specific scope of services provided to each client will be defined in a written engagement letter or statement of work. No services are provided until a formal agreement has been signed.

4.Engagements & Fees

All client engagements are governed by a separate engagement letter that outlines the scope of work, deliverables, fees, and payment terms. By entering into an engagement letter, you agree to:

  • Pay all fees as set out in the engagement letter in a timely manner
  • Provide Arjay Consulting with accurate, complete, and timely information necessary to perform the services
  • Notify us promptly of any changes to your business that may affect the scope of our work
  • Ensure that all information provided to us is lawfully obtained and not in breach of any third-party rights

Arjay Consulting reserves the right to suspend or terminate services where invoices remain unpaid beyond the agreed payment terms. Late payment interest may be applied in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5.Client Responsibilities

To enable us to provide services effectively, clients agree to:

  • Provide timely access to all financial data, records, systems, and personnel reasonably required
  • Designate a primary point of contact who has authority to provide instructions and approvals
  • Review and approve work product within the timeframes set out in the engagement letter
  • Inform Arjay Consulting immediately of any changes in your regulatory, legal, or financial circumstances
  • Not use any work product or advice provided by Arjay Consulting for any unlawful purpose

Arjay Consulting is not responsible for any losses, delays, or errors arising from a client's failure to meet these responsibilities.

6.Confidentiality

Both parties agree to maintain strict confidentiality in respect of all information disclosed in connection with the engagement. Arjay Consulting will not disclose your confidential business information to any third party without your written consent, except:

  • Where required by law, regulation, or a competent authority
  • Where the information is already in the public domain through no fault of ours
  • Where disclosure is necessary to perform the services with the involvement of approved sub-contractors or advisors, who are themselves bound by confidentiality

This obligation of confidentiality survives the termination of any engagement or agreement with Arjay Consulting.

7.Intellectual Property

All intellectual property rights in deliverables, financial models, reports, templates, methodologies, and other work product created by Arjay Consulting remain the property of Arjay Consulting until full payment has been received. Upon receipt of full payment, clients are granted a non-exclusive, non-transferable licence to use the deliverables for their own internal business purposes.

All content on this website — including text, graphics, logos, and design — is the property of Arjay Consulting and may not be reproduced, distributed, or modified without our express written permission.

8.Limitation of Liability

Arjay Consulting provides financial analysis, advisory, and support services. Our work is based on information provided by clients and publicly available data. While we exercise reasonable skill and care, we cannot guarantee specific business outcomes, investment returns, or fundraising results.

To the fullest extent permitted by law, Arjay Consulting's total aggregate liability for any claims arising from or relating to an engagement shall not exceed the total fees paid by the client in the three months immediately preceding the claim. We exclude all liability for indirect, consequential, or special losses, including but not limited to loss of profit, loss of business opportunity, or reputational damage.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.

9.Termination

Either party may terminate an engagement in accordance with the notice period set out in the relevant engagement letter. In the absence of a specific notice period, either party may terminate with 30 days' written notice.

Arjay Consulting reserves the right to terminate services immediately and without notice if a client acts in a manner that is unlawful, abusive, or in material breach of these Terms or the engagement letter. In the event of termination, all outstanding fees for work completed to date shall remain payable.

10.Governing Law & Dispute Resolution

These Terms of Service and any engagement letters are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We are committed to resolving disputes amicably. In the event of a disagreement, both parties agree to first seek resolution through good-faith negotiation before commencing any formal proceedings.

11.Changes to These Terms

Arjay Consulting reserves the right to update or modify these Terms of Service at any time. Any changes will be posted on this page with a revised 'Last Updated' date. Your continued use of our website or services following any update constitutes your acceptance of the revised Terms.
